Guys, he may be using DMOZ data but it could still be considered a new directory in some regards.

Secondly, your statement above makes it sounds like he stole the data or something. Anyone can setup there own directory with DMOZ data, see here: http://rdf.dmoz.org/

Lastly IMO, his offer is not a bad one, especailly if the PR gets bumped up a little but more.
