Assuming you use proper 301 redirects from your old ASP pages to your new PHP pages, then the effect in terms of search engine ranking will be minimized. Also, if you're going to change your site in terms of code and you have decent search engine ranking for certain pages AND people are visiting from those keywords and phrases (that's the real key), don't edit the content of those pages much if at all. Why screw with what works, right?
PageRank is a meaningless indicator, as discussed on here, so don't worry too much about it. It's only one factor. Basically, build your site, make sure it's user friendly, add the appropriate 301s, and away you go.
