Either of those scenarios is a violation of the software license acquired by the purchaser. Remember that no one owns the software but Adobe. When you buy the software, you're purchasing a license of use and you are bound to honor that licensing agreement. By transmitting the software or even giving the CD to another person with the serial key, the license is being broken provided the software remains installed on a previous computer.
MOST licenses only allow for one user to install one copy on one computer.
That said, I believe that such licensing agreements are overly restrictive and invade the rights of the consumer (not to mention invading what defines a free individual in a democratic society). But that's my opinion and another topic entirely which you didn't ask about.
