What’s the deal with corporate buy outs and duplicate content?

There were two sites; X and Y. both leading competitors in the industry with strong link profiles. However, they lacked SEO. Later, X buys out Y and keep both the companies as an independent trading firm. But, X combines the product catalogues with different product descriptions for the net for the customers of both the companies. What I am stuck with is does the product description and catalogue affect the duplicate content filters. Is it ideal to post details on both X and Y sites or on a totally different site Z that is linked to both X and Y. If these three sites are interlinked, then would any one of the site rank on search engines?

Well i think it depends on the history of each site as stated by chrishirt the one that Search engines decide should, and would be the best to show their customers.

It's will be depended on the authority level of the three sites.If the history is older, the authority is better;If the link building is stronger , the authority is better.If the keyword density is more perfect, the authority is better..So, which of the three website has the best authority?
