Keyword proximity refers to how close two or more keywords are to each other. You will achieve higher rankings if you place your keywords close together.

Keyword density refers to the ratio (percentage) of keywords contained within the total number of indexable words within a web page.

The preferred keyword density ratio varies from search engine to search engine. In general, keyword density ratio should be in the range of 3-8%.

It's like this. You can create a page with only 'viagra' as a word. Then your keyword density is 100%. But according to the 'experts', keyword density has to be 5%. So you put some crap at the page and get that 5% keyword density thing.

Didn't make sense? Same goes for keyword density. It's a huge misunderstanding. But keyword proximity has a lot of validity. The better you get at getting relevant keywords together, the better your SERP performance would be.
