my host wont upgrade to mysql 5 what to do? Is there some law or guide line that I can use against my host to upgrade to newer technology?

You must be joking...Does your existing website uses older version than 5? Then I guess you should try to change web hosting company which would have decent version of MySQL.

If everything else suits your needs with your current hosting provider then you can ask if they have the other shared server(s) - with MySQL 5. Maybe they can transfer your account to the server with MySQL 5.

I agree with someone who recommended moving to the new web hosting provider. That would be the best step if your own web host do not want to do that or refuse to do that.

No, there isn't. You bought a service with certain specifications. It could be considered "bad" if they decided to upgrade without any sort of notification. It can't be considered "bad" if they decide they will stick to the service as it is.
Their suggestion for a VPS sounds more of a way of retaining you as a customer and upsell at the same time. You just need to find a different host, there's no reason to increase your costs.
